1. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Codewoom, a company registered in India ("Company", "we", "us", or "our"), governing your access to and use of our services, website, platforms, and related offerings (collectively, the "Services").

These Terms are governed by the laws of India, including but not limited to:

• The Indian Contract Act, 1872
• The Information Technology Act, 2000
• The Digital Personal Data Protection Act, 2023
• The Consumer Protection Act, 2019

2. Definitions

For the purposes of these Terms:

• "Account" means the user account created to access our Services
• "Content" means any text, images, videos, audio, or other materials uploaded, downloaded, or appearing on the Services
• "User Content" means Content that you submit, upload, or transmit through the Services
• "Intellectual Property" means all patents, trademarks, copyrights, trade secrets, and other proprietary rights
• "Terms" means these Terms and Conditions, as amended from time to time
• "Services" means all design, development, and consulting services provided by Codewoom

3. Eligibility and Account Registration

3.1 Age Requirement

You must be at least 18 years of age to use our Services. If you are under 18, you may use our Services only with the involvement and consent of a parent or legal guardian.

3.2 Account Creation

To access certain features of our Services, you must create an Account by providing:

• Accurate and complete personal information
• A valid email address and phone number
• Payment information (for paid services)

3.3 Account Security

You are responsible for:

• Maintaining the confidentiality of your Account credentials
• All activities that occur under your Account
• Notifying us immediately of any unauthorized use
• Ensuring your Account information remains accurate and up-to-date

4. Description of Services

Codewoom provides digital product agency services. Our primary offerings include:

• UX/UI Design and Research
• Web and App Development
• Social Media Marketing
• 3D Modeling and Character Animation

4.1 Service Modifications

We reserve the right to:

• Modify, suspend, or discontinue any aspect of the Services at any time
• Impose limits on certain features or restrict access to parts of the Services
• Update features, functionalities, and user interface

4.2 Service Availability

While we strive to provide uninterrupted service, we do not guarantee that:

• The platforms will be available at all times
• The Services will be error-free or secure
• Any defects will be corrected immediately

5. User Obligations and Conduct

5.1 Permitted Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You shall not:

• Violate any applicable laws, regulations, or third-party rights
• Engage in fraudulent, deceptive, or misleading activities
• Impersonate any person or entity
• Interfere with or disrupt the Services or servers
• Transmit viruses, malware, or other harmful code
• Reverse engineer, decompile, or disassemble our platforms

5.2 Prohibited Content

You shall not upload, post, or transmit any Content that:

• Is illegal, harmful, threatening, abusive, harassing, or defamatory
• Infringes any intellectual property or proprietary rights
• Contains malicious software
• Violates confidentiality agreements related to your projects

6. Intellectual Property Rights

6.1 Codewoom's Property

All pre-existing intellectual property, methodologies, frameworks, and generic tools used or developed by Codewoom during the provision of our Services remain the exclusive property of Codewoom, unless explicitly stated otherwise in a separate Master Service Agreement (MSA).

6.2 Client Deliverables

Upon full payment of all fees associated with a project, intellectual property rights for the finalized deliverables (e.g., custom code, finalized UX/UI designs) will be transferred to you as specified in the project contract.

6.3 User Content

By submitting brand assets to us for a project, you grant us a worldwide, non-exclusive license to use, reproduce, and adapt those assets solely for the purpose of fulfilling the project scope.

7. Payment Terms and Refunds

7.1 Fees and Charges

Access to specific consulting, design, or development services requires payment of agreed-upon milestone fees or subscriptions. You agree to:

• Pay all applicable fees as detailed in your project invoice
• Provide valid payment information
• Pay all applicable taxes, including GST

7.2 Refund Policy

Refunds are governed by the following considerations:

• Digital Services Phase: Due to the nature of agency work, milestone deposits for UX/UI design or development time already executed are non-refundable.
• Cancellations: If a project is cancelled prior to the commencement of work in a specific milestone, a partial or full refund for that milestone may be provided at Codewoom's discretion.

8. Privacy and Data Protection

Your use of our digital platforms is subject to our Privacy Policy. By using our site, you consent to our collection, use, and disclosure of your information as described therein.

9. Termination

We reserve the right to suspend or terminate service engagements or digital platform access immediately, without notice, if:

• You fundamentally violate these Terms or our professional code of conduct
• You fail to pay invoices within the agreed timelines
• We are required to do so by law

10. Disclaimers and Warranties

To the maximum extent permitted by law, we disclaim all warranties regarding the site accuracy, reliability, or that it will be entirely error-free.

11. Limitation of Liability

To the maximum extent permitted by Indian law, Codewoom shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities arising strictly from the use of our generic platform tools

Specific project liabilities will be capped as dictated by individual Statements of Work (SOW).

12. Indemnification

You agree to indemnify, defend, and hold harmless Codewoom from any claims, damages, or costs (including attorneys' fees) arising from your violation of these Terms, or any unauthorized IP submitted by you to us during a design or development project.

13. Governing Law and Dispute

These Terms shall be governed by the laws of India. Any dispute arising out of these Terms shall be settled by mutual mediation first. If unresolved, disputes will be subject to binding arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in New Delhi, India. Both parties agree to submit to the exclusive jurisdiction of the competent courts situated in New Delhi.

14. Modifications

We reserve the right to modify these Terms at any time. We will update the "Last Updated" date when changes occur. Your continued use of the Codewoom platform after the effective date constitutes acceptance of the changes.
